Job Summary:

We are looking for a seasoned Corporate Legal professional to manage end-to-endlegal matters of the organization, including corporate governance, contracts,regulatory compliance, and risk management. The role requires strong expertisein corporate law, stakeholder management, and handling complex commercialtransactions.

Key Responsibilities:

1. Corporate Legal AdvisoryProvide strategic legal advice to management and business teams on corporateand commercial matters Support decision-making with risk assessment and legalinsights. Ensure all business activities comply with applicable corporate lawsand regulations.

2. Contract Drafting & NegotiationDraft, review, and negotiate complex commercial agreements including but notlimited to:

· Shareholder agreements

· Joint venture agreements

· M&A-related documents

· Vendor and service contracts

· NDAs and licensing agreements

· Ensure legal and commercial interests of the company are protected

3. Mergers, Acquisitions & Transactions SupportAssist in due diligence processes for M&A and investment transactions Supportstructuring of deals and review transaction documentation coordinate withexternal counsel on corporate transactions.

4. Regulatory & Legal ComplianceMonitor legal and regulatory developments affecting the business Implementcompliance frameworks and internal policies, Ensure adherence toindustry-specific regulations (if applicable).

5. Dispute Management & Litigation SupportHandle corporate legal disputes, notices, and claims, Coordinate with externalcounsel for litigation and arbitration matters, Prepare legal responses anddocumentation.

6. Stakeholder & Cross-Functional CollaborationWork closely with Finance, HR, Procurement, and Business teams, Act as legalpartner for business initiatives and projects

Required Qualifications:

Bachelor’s degree in Law (LLB) from a recognized university 6–10 years ofexperience in corporate law, preferably in in-house legal or top law firms.

Strongunderstanding of corporate law, contract law, and regulatory frameworks Experiencein handling corporate transactions and compliance matters

Preferred Skills (Senior/Lead Level):Experience in M&A, joint ventures, and corporate restructuring, Ability toindependently handle negotiations and legal strategy, Experience mentoringjunior legal professionals
